The information, listings, links, notifications, and other materials made available through our website and services (collectively, the "Services") are provided for general informational and business networking purposes only.

Contractor Network does not guarantee the accuracy, completeness, reliability, availability, timeliness, suitability, or continued existence of any project listing, tender, bid opportunity, business lead, or other information presented through the Services.

Your use of the Services is entirely at your own risk, subject to applicable law and the terms set out below.

2. No Guarantees of Projects, Contracts, or Revenue

Contractor Network makes no representations, warranties, promises, or guarantees regarding the results users may achieve through the Services.

Without limiting the foregoing, we do not guarantee:

• Any minimum number of construction projects, tender opportunities, or leads.

• That any listed project is genuine, accurate, active, funded, or still accepting bids.

• That any contractor will be eligible to bid on a particular project.

• That a contractor will receive an invitation to bid, win a bid, or be awarded a contract.

• Any minimum level of revenue, profit, business growth, return on investment, or financial success.

• Any particular number, quality, frequency, or value of available opportunities.

• That project owners, developers, general contractors, or procurement authorities will respond to inquiries or award contracts.

• That membership fees or other payments will generate a financial return.

• That the Services will be continuously available, uninterrupted, error-free, or compatible with every device or system.

Membership provides access to the features and opportunities included in the applicable membership plan. It does not constitute a promise of employment, subcontracting work, a construction contract, a minimum volume of opportunities, or financial compensation.

Any examples of potential revenue, project values, contractor earnings, business growth, or other commercial outcomes are illustrative only and are not promises of future performance.

3. Third-Party Project Listings and Information

Project opportunities displayed on Contractor Network may originate from public procurement websites, government portals, private tender platforms, project owners, developers, general contractors, subcontractors, suppliers, or other third parties.

We may organize, summarize, categorize, reproduce permitted portions of, or link to information from these sources.

Contractor Network is not necessarily the creator, owner, publisher, contracting authority, project manager, or authorized representative of the projects listed on the platform.

We do not independently verify every listing and make no guarantee regarding:

• The identity, authority, qualifications, or financial capacity of a project owner or other participant.

• Project budgets, specifications, drawings, deadlines, or estimated contract values.

• The availability of funding, permits, materials, labour, or project approvals.

• The legitimacy or completeness of tender documents.

• Changes, cancellations, postponements, or withdrawals of projects.

• The accuracy of contact details or third-party website content.

Users are responsible for independently verifying all material information with the original source, project owner, procurement authority, or relevant contracting party before spending money, preparing a bid, signing an agreement, or commencing work.

Where official tender documents or deadlines are provided by third parties, the original issuing authority's current documents and instructions take precedence.

4. No Endorsement or Vetting of Contractors

Unless expressly stated otherwise in writing, Contractor Network does not guarantee, certify, endorse, or warrant the qualifications, licensing, insurance, financial standing, reputation, safety practices, workmanship, reliability, or legal compliance of any contractor, subcontractor, supplier, project owner, developer, or other platform participant.

The appearance of a person, company, or business opportunity on our platform does not constitute a recommendation or endorsement.

Users are responsible for conducting their own due diligence, including verifying applicable licences, insurance, permits, references, credentials, financial standing, and contractual authority.

Contractor Network is not responsible for the acts, omissions, representations, misconduct, negligence, breach of contract, non-payment, or failure to perform of any third party.

5. Independent Business Decisions and Bidding

Contractors and other users remain solely responsible for their own commercial decisions and activities.

This includes deciding whether to pursue a project, preparing and submitting bids, determining pricing, estimating costs, negotiating contractual terms, verifying project requirements, obtaining permits, maintaining insurance, and complying with applicable laws and industry regulations.

Contractor Network does not provide legal, tax, accounting, engineering, architectural, construction, financial, or professional procurement advice.

Users should obtain appropriate professional advice where necessary.

Any decision to bid on a project or enter into an agreement with another party is made independently by the user and not in reliance on a guarantee or warranty from Contractor Network.

6. Assumption of Risk

To the fullest extent permitted by applicable law, you acknowledge and accept the risks associated with using an online construction opportunity platform and interacting with third parties through or in connection with the Services.

These risks may include inaccurate or outdated information, cancelled projects, unsuccessful bids, competing bidders, fraudulent representations, payment disputes, non-payment, project delays, cost overruns, contractual disputes, and lost business opportunities.

You are responsible for taking reasonable precautions to protect your business interests, confidential information, finances, equipment, employees, and contractual rights.

7. Release of Claims

To the fullest extent permitted by applicable law, you agree to release Contractor Network and its lawful affiliates, officers, directors, employees, agents, representatives, contractors, and service providers (collectively, the "Released Parties") from claims, demands, losses, damages, liabilities, and causes of action arising out of or relating to:

• Your use of, or inability to use, the Services.

• Your reliance on project listings, tender notices, leads, or other information.

• Inaccurate, incomplete, outdated, unavailable, or misleading third-party information.

• A project's cancellation, withdrawal, postponement, or failure to proceed.

• Your inability to qualify for, submit, or win a bid.

• The conduct, representations, omissions, or performance of another user or third party.

• Contracts, negotiations, transactions, disputes, or business relationships with other users.

• Lost revenue, lost profits, lost business opportunities, or unsuccessful commercial decisions.

• Unauthorized access, service interruptions, technical failures, or other events beyond our reasonable control.

This release applies only to the extent permitted by law. It does not release any claim or liability that cannot lawfully be excluded or released, including any liability arising from fraud, wilful misconduct, or other conduct to the extent applicable law prohibits its exclusion.

Nothing in this section eliminates any mandatory consumer, privacy, or other statutory rights that apply to a particular user or transaction.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Contractor Network and the Released Parties will not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages arising out of or relating to the Services.

This limitation includes, without limitation:

• Lost profits, revenue, anticipated savings, or business opportunities.

• Loss of business reputation or goodwill.

• Costs of preparing bids, quotations, estimates, or proposals.

• Labour, travel, administration, equipment, or other expenses incurred pursuing a project.

• Project delays, cancellations, non-payment, or contractual disputes.

• Loss, corruption, or unavailability of data.

• Business interruption or costs associated with obtaining substitute services.

To the fullest extent permitted by applicable law, the total aggregate liability of Contractor Network and the Released Parties for claims arising out of or relating to the Services will not exceed the greater of:

(a) the membership fees actually paid by you directly to Contractor Network for the Services during the twelve (12) months immediately preceding the event giving rise to the claim; or

(b) CAD $100.

This limitation applies collectively to all claims arising from the same or related events, regardless of the legal theory asserted.

Nothing in this section excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law. Where a particular limitation is unenforceable, the remaining limitations will continue to apply to the extent permitted by law.

9. No Warranty

To the fullest extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.

Contractor Network disclaims all warranties and conditions, whether express, implied, statutory, or otherwise, to the extent permitted by law, including implied warranties or conditions of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and suitability.

We do not warrant that the Services will meet your particular business requirements, produce any particular result, remain continuously available, or be free from defects, harmful components, errors, or interruptions.

10. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless Contractor Network and the Released Parties from third-party claims, liabilities, damages, losses, and reasonable legal expenses arising out of or relating to:

• Your misuse of the Services.

• Your violation of this Disclaimer, the Terms of Service, or applicable law.

• Your infringement of another person's intellectual property, privacy, or other legal rights.

• Your bids, contracts, construction activities, or business dealings with other users.

• Your inaccurate, misleading, unlawful, or unauthorized submissions.

• Your negligence, wilful misconduct, or other wrongful acts.

This obligation applies only to the extent the relevant claim arises from your conduct or other circumstances for which you are legally responsible. It does not require you to indemnify a Released Party for that party's own liability to the extent such an obligation is prohibited by applicable law.

11. Third-Party Websites and External Services

Our Services may link to third-party websites, tender portals, payment processors, procurement databases, or other external services.

Contractor Network does not control these external services and is not responsible for their availability, security, accuracy, content, terms, privacy practices, or business operations.

Accessing an external website or dealing with a third party is at your own risk. You should review the applicable terms, privacy policies, bidding rules, and contractual requirements before proceeding.

12. Membership Fees and Refunds

Membership fees purchase access to the features and services described in the applicable membership plan.

Payment of a membership fee does not guarantee that any particular project will be available, that you will qualify for a project, or that you will receive work, win a bid, or generate revenue.

Refund eligibility, cancellation rights, and membership renewal terms are governed by the applicable Membership and Cancellation Policy, Terms of Service, and mandatory laws.

Nothing in this Disclaimer overrides a refund right, cancellation right, or other entitlement that cannot lawfully be waived.

13. Force Majeure and Service Interruptions

To the fullest extent permitted by law, Contractor Network is not responsible for delays, interruptions, or failures caused by events beyond our reasonable control, including internet or telecommunications outages, hosting failures, cyberattacks, government actions, natural disasters, labour disputes, utility interruptions, and failures of third-party providers.

We may modify, suspend, or discontinue features of the Services where reasonably necessary for operational, security, legal, or business reasons, subject to any applicable contractual obligations and mandatory legal requirements.

14. No Waiver of Non-Waivable Rights

Nothing in this Disclaimer is intended to exclude, restrict, or waive a right, remedy, warranty, duty, or liability that cannot lawfully be excluded, restricted, or waived under applicable law.

Where a provision is found to be invalid or unenforceable, it will be interpreted or severed to the minimum extent necessary, and the remaining provisions will continue in effect to the extent legally permitted.

15. Governing Law

This Disclaimer is subject to the applicable laws of the jurisdiction determined under the Terms of Service and any mandatory laws applicable to the user or transaction.

Any choice-of-law or jurisdiction clause will operate only to the extent legally enforceable. Nothing in this Disclaimer is intended to deprive a user of a mandatory protection available under applicable law.
