1. Acceptance of Terms
These Terms and Conditions ("Terms") govern your access to and use of the Contractor Network website, membership platform, project listings, bidding opportunities, and related services (collectively, the "Services").

We reserve the right to refuse registration, suspend accounts, or restrict access where reasonably necessary to protect the platform, comply with law, prevent fraud, or enforce these Terms.
3. Description of Services
Contractor Network is an online platform designed to help construction professionals discover, review, and pursue construction-related project opportunities.
Depending on the membership plan and available features, the Services may include:

Access to construction project listings and tender opportunities.

Access to publicly available procurement notices and project information.

Project summaries, categories, deadlines, locations, and source links.

Opportunities submitted by project owners, contractors, developers, or other third parties.

Search, filtering, notification, and project discovery tools.

Contractor business profiles and other networking features, where offered.

Additional premium features that may be introduced from time to time.
We may add, modify, replace, or discontinue features as our business develops, subject to applicable contractual obligations and law.
Contractor Network is an information and opportunity discovery platform. Unless expressly agreed otherwise in a separate written agreement, we are not a construction company, general contractor, subcontractor, construction broker, procurement authority, or party to contracts between platform users.
4. Membership Plans and Access
Certain Services may require a paid membership.
The membership price, duration, included features, payment frequency, renewal conditions, and any applicable limitations will be presented during the purchase process.
A membership grants you a limited, non-exclusive, non-transferable right to access the features included in your selected plan during the applicable membership period.
Unless expressly stated otherwise in writing:

Membership is issued to the purchasing individual or business.

Membership access may not be shared with unauthorized users.

Membership does not transfer ownership of the platform or its content.

Membership does not guarantee exclusive access to projects.

Membership does not guarantee a minimum number or value of project listings.

Membership does not guarantee eligibility for, or success in, any bidding process.

Membership does not guarantee contracts, employment, revenue, profits, or business growth.
We may introduce different membership tiers, prices, or benefits. Any changes affecting an existing paid membership will be handled in accordance with the applicable membership agreement and law.
5. Membership Fees and Payments
Membership fees are displayed at checkout and may be denominated in U.S. dollars, Canadian dollars, or another currency specified at the time of purchase.
For a membership advertised at US$495 per year, the applicable amount, billing currency, taxes, and renewal terms will be disclosed before payment is completed.
You agree to provide accurate billing information and authorize the applicable payment provider to process your payment.
You are responsible for applicable taxes, duties, or similar charges to the extent legally payable by you. Any taxes collected by Contractor Network will be identified as required by law.
We may use third-party payment processors to handle transactions. Your payment may also be subject to the payment processor's terms and privacy practices.
Contractor Network does not intentionally collect or store complete payment card credentials when those details are handled by an external payment processor.
6. Automatic Renewal
Memberships renew automatically only where automatic renewal is expressly offered, clearly disclosed before purchase, and accepted by the customer.
Where automatic renewal applies, you authorize us or our payment processor to charge the disclosed renewal fee at the applicable interval until the membership is cancelled.
We will provide renewal notices, cancellation methods, and other disclosures where required by applicable law.
You are responsible for cancelling your membership before the next renewal date if you do not wish to renew, subject to any mandatory cancellation rights.
We will not impose undisclosed renewal charges or use this section to override statutory protections.
7. Cancellation and Refunds
Membership cancellation and refund requests are governed by our applicable Membership and Cancellation Policy, together with these Terms and any mandatory legal requirements.
Unless otherwise disclosed or required by law:

Cancelling a membership prevents future renewals but does not automatically entitle you to a refund for the current membership period.

Membership fees are not refundable solely because you did not find a suitable project, submit a bid, win a contract, or generate revenue.

A refund may be provided where required by law, expressly promised under the applicable plan, or approved by Contractor Network.

Any applicable statutory cancellation rights remain unaffected.
If you believe you have been charged incorrectly, contact us promptly with the relevant transaction details.
Nothing in this section excludes any refund, cancellation, or other right that cannot lawfully be waived.
8. Project Listings and Information Sources
Project information available through Contractor Network may originate from public websites, government procurement portals, tendering platforms, project owners, general contractors, developers, subcontractors, suppliers, and other third parties.
We may compile, organize, categorize, summarize, or link to information from these sources where permitted by applicable law and any applicable contractual or website restrictions.
We aim to provide useful project information but do not guarantee that every listing is accurate, complete, current, authorized, available, or still open for bids.
Listings may be changed, withdrawn, delayed, duplicated, cancelled, or removed without prior notice.
You are responsible for verifying all material information directly with the original source or relevant contracting authority before acting on a listing.
Official tender documents, addenda, procurement instructions, eligibility rules, and deadlines issued by the responsible authority take precedence over summaries or other information displayed by Contractor Network.
9. No Guarantee of Work or Results
Contractor Network does not guarantee that you will receive work, win a tender, be selected by a project owner, or earn any particular amount of money through the Services.
We do not guarantee:

A minimum number of available opportunities.

The quality, value, or profitability of listed projects.

That any particular project will suit your trade, location, capacity, or qualifications.

That a project owner will respond to your inquiry.
-
That a listed project will proceed as scheduled.
-
That your membership will produce a return on investment.
Your membership purchases access to the applicable platform features, not a guaranteed commercial result.
All bidding, pricing, estimating, negotiations, and contracting decisions remain your responsibility.
10. User Accounts and Security
You must provide accurate, current, and complete information when creating and maintaining an account.
You are responsible for:

Maintaining the confidentiality of your login credentials.

Restricting unauthorized access to your account.

Ensuring that information associated with your account remains accurate.

Notifying us promptly of suspected unauthorized access or security breaches.

All activities conducted through your account, except to the extent applicable law provides otherwise.
You must not impersonate another person or business, misrepresent your qualifications, or create accounts for fraudulent or deceptive purposes.
We may suspend or restrict access to accounts where we reasonably suspect fraud, unauthorized use, security risks, or violations of these Terms.
11. Acceptable Use
You agree to use Contractor Network lawfully, responsibly, and in accordance with these Terms.
You must not:

Copy, republish, redistribute, resell, or commercially exploit platform content beyond the rights expressly granted to you.

Harvest personal information or use project contact details for unlawful, deceptive, or unauthorized marketing.

Infringe intellectual property, privacy, confidentiality, or other legal rights.

Use the platform to distribute spam or solicit users in violation of applicable law.

We may investigate suspected violations and take reasonable enforcement action, including content removal, access restrictions, account suspension, or termination.
12. Restrictions on Data Collection and Redistribution
Contractor Network may contain information obtained from public sources and third-party submissions.
You may use information accessed through your membership for legitimate construction business purposes, including evaluating opportunities and preparing bids, subject to the applicable project rules and source restrictions.
Unless expressly authorized in writing, you must not:

Reproduce or redistribute substantial portions of Contractor Network's database.

Resell access to project listings or provide listings to competing services.
-
Use automated extraction tools to copy or harvest platform data.

Circumvent technical restrictions or access controls.

Use personal information obtained through the platform in violation of privacy or marketing laws.

Remove applicable attribution, proprietary notices, or source references.

Use content in a manner that infringes intellectual property or contractual rights.
These restrictions do not prohibit activities that applicable law expressly permits or rights that cannot lawfully be restricted.
13. Third-Party Websites and Services
The Services may include links to third-party websites, government procurement portals, tendering platforms, payment processors, and other external services.
We do not control these third-party services and are not responsible for their content, availability, security, accuracy, privacy practices, or contractual requirements.
Your access to an external service may be governed by separate terms imposed by its operator.
You are responsible for reviewing applicable terms, tender rules, submission requirements, and deadlines before using a third-party service or submitting a bid.
A link or listing does not constitute an endorsement, verification, or guarantee by Contractor Network.
14. Independent Relationships Between Users
Contractor Network generally acts as a platform for discovering and accessing project information.
Unless a separate written agreement expressly provides otherwise, we are not a party to agreements, bids, negotiations, transactions, or disputes between contractors, project owners, developers, general contractors, subcontractors, and other users.
Users are solely responsible for their own business relationships, including:

Verifying the identity and authority of counterparties.

Conducting financial and commercial due diligence.

Negotiating prices, scope, schedules, and payment terms.

Confirming licences, insurance, certifications, and permits.

Entering into appropriate written contracts.

Resolving payment, performance, quality, and contractual disputes.
We are not responsible for another user's failure to pay, perform, communicate, or honour a contract.
15. Intellectual Property
Unless otherwise indicated, the Contractor Network website, branding, logos, original written materials, original software, platform design, and other original content are owned by or licensed to Contractor Network.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for their intended business purposes during your authorized access period.
You must not copy, modify, distribute, publicly display, sell, sublicense, reverse engineer, or commercially exploit our proprietary materials except as expressly authorized or permitted by law.
Third-party project information, trademarks, logos, tender documents, and other materials may belong to their respective owners and remain subject to applicable rights and restrictions.
Nothing in these Terms transfers ownership of third-party intellectual property to Contractor Network or grants users rights that we do not possess.
16. User-Submitted Content
If you submit information, documents, business profiles, project opportunities, or other materials to Contractor Network, you represent that:

You have the right and authority to submit the materials.

The materials do not knowingly contain false or misleading information.

Your submission does not violate applicable law or another person's rights.

You have obtained any permissions or consents required for the submission.
You retain ownership of content you own, subject to any rights granted under these Terms.
You grant Contractor Network a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, display, and use your submitted content as reasonably necessary to operate, provide, maintain, promote, and improve the Services, subject to applicable law and your privacy rights.
You are responsible for ensuring that confidential, commercially sensitive, or personal information is not submitted or made public without appropriate authority.
We may remove, restrict, or decline to publish content that violates these Terms, infringes rights, creates legal or security risks, or is otherwise inappropriate for the platform.
17. Privacy and Personal Information
Our collection, use, disclosure, and handling of personal information are described in our Privacy Policy.
By using the Services, you acknowledge that your information may be handled as described in that policy and in accordance with applicable privacy laws.
You must not use personal information obtained through Contractor Network for unlawful purposes or in a manner that violates applicable privacy, data protection, or electronic marketing laws.
18. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.
Contractor Network makes no guarantee that the platform will be uninterrupted, error-free, secure in every circumstance, or suitable for every user's particular business requirements.
We disclaim warranties and conditions to the extent permitted by law, including implied warranties or conditions of merchantability, fitness for a particular purpose, accuracy, availability, and non-infringement.
Nothing in this section excludes a warranty or right that cannot legally be excluded.
19. Limitation of Liability
To the fullest extent permitted by applicable law, Contractor Network and its affiliates, officers, directors, employees, agents, contractors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses arising out of or relating to the Services.
This includes, where legally excludable:

Lost profits, revenue, or anticipated savings.

Lost business opportunities or contracts.

Costs incurred preparing or submitting bids.
-
Project delays, cancellations, or non-payment.
-
Disputes between users.
-
Inaccurate, incomplete, or outdated project information.

Interruptions, technical failures, or loss of data.
To the fullest extent permitted by applicable law, the aggregate liability of Contractor Network arising out of or relating to the Services will not exceed the greater of:
(a) the membership fees you paid directly to Contractor Network during the twelve (12) months preceding the event giving rise to the claim; or
(b) CAD $100.
This limitation does not apply to liability to the extent it cannot lawfully be excluded or limited. The enforceability of this provision may depend on the circumstances and applicable law.

20. Indemnification
To the fullest extent permitted by law, you agree to indemnify and hold harmless Contractor Network and its affiliates, officers, directors, employees, agents, contractors, and service providers against third-party claims, damages, liabilities, losses, and reasonable legal expenses arising from:

Your unlawful use of the Services.

Your infringement of another person's rights.

Your bids, contracts, or dealings with other users.

Your submitted content or misrepresentations.

Your negligence or wilful misconduct.
This obligation applies only to the extent the relevant claim arises from conduct or circumstances for which you are legally responsible. It does not require you to indemnify a party for its own liability where doing so is prohibited by law.
21. Suspension and Termination
We may suspend, restrict, or terminate your access to the Services if:

Your account is associated with fraud or unlawful conduct.

You misuse project listings or personal information.

You fail to pay applicable membership fees.

You may discontinue use of the Services at any time. Cancelling or terminating your account does not automatically entitle you to a refund except as provided under our policies or applicable law.
Provisions that by their nature should survive termination, including intellectual property, outstanding payment obligations, indemnification, applicable liability limitations, and dispute-related provisions, will survive to the extent permitted by law.
22. Service Availability and Changes
We aim to maintain a reliable platform but do not guarantee uninterrupted access.
We may temporarily suspend or modify the Services for maintenance, security, upgrades, legal compliance, or other legitimate operational reasons.
We may change the content, organization, features, or functionality of the platform as our business evolves.
Where a change materially affects an existing paid membership, we will comply with applicable contractual and legal obligations, including any required notice, consent, cancellation, or refund rights.
23. Electronic Communications
You agree that we may communicate with you electronically regarding your account, membership, billing, security, service updates, and other matters relating to the Services.
Where legally permitted, electronic notices may satisfy applicable written-notice requirements.
Promotional communications will be handled in accordance with applicable marketing and anti-spam laws. You may unsubscribe from promotional messages using the available unsubscribe method, but essential account and service communications may still be sent.
24. Governing Law and Disputes
These Terms are governed by the laws applicable to the Contractor Network operating entity and the relevant transaction, subject to mandatory laws that apply to the user.
The parties will attempt in good faith to resolve disputes informally by contacting the other party and providing a reasonable opportunity to respond.
If a dispute cannot be resolved informally, it may be brought before a court of competent jurisdiction, subject to applicable law and any enforceable agreement between the parties.
Nothing in this section prevents a person from exercising a statutory right or remedy that cannot lawfully be restricted by contract.
25. Changes to These Terms
We may update these Terms from time to time to reflect changes in the Services, membership plans, business operations, or applicable law.
The updated version will be published on our website with a revised "Last Updated" date.
Where required by law or contract, we will provide notice of material changes or obtain your consent.
Changes will not retroactively eliminate rights or obligations where doing so is prohibited by law.
26. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be limited or severed to the minimum extent necessary.
The remaining provisions will continue in effect to the fullest extent permitted by applicable law.
27. No Waiver

These Terms, together with the Privacy Policy, Disclaimer, Membership and Cancellation Policy, and any other policies expressly incorporated by reference, constitute the agreement governing your use of the Services, subject to any separate written agreement applicable to a particular service.
If a separate signed agreement expressly conflicts with these Terms, the separate agreement will prevail to the extent of the conflict and as permitted by law.
